Terms of Service
These Terms of Service ("Terms") govern your use of the Bytespike Gateway, console, website, and DOSIA application provided by Bytespike LLC, a Delaware limited liability company at 8 The Green, Suite B, Dover, DE 19901, USA. By creating an account or using the service, you agree to these Terms. Where you use the service on behalf of an organization, you represent that you have authority to bind that organization. 1. What Bytespike is
Bytespike is a software-as-a-service (SaaS) AI gateway. We provide a single API surface that routes your authenticated requests to upstream large language model providers (OpenAI, Anthropic, Google, and others) and bills you on a credit-based pay-as-you-go model. Bytespike is not a bank, money transmitter, or payment processor. We do not custody customer funds; credits represent a prepayment for our routing service.
2. Accounts and keys
You are responsible for safeguarding your account credentials and API keys. We treat any request authenticated with your key as authorized. If a key is compromised, rotate it from the Console immediately.
3. Acceptable use
Use is governed by our Acceptable Use Policy at /legal/aup. In summary you agree not to: generate or distribute CSAM, content inciting imminent violence, content infringing IP rights, or attack the stability of upstream model providers. Upstream providers also impose their own usage policies — your prompts ride on top of those, and when an upstream rejects, we surface the rejection.
4. Billing and credits
All prices are quoted in U.S. Dollars (USD) unless otherwise indicated. ByteSpike is pay-as-you-go: there are no subscriptions, recurring plans, or auto-renewal. Credit top-ups are charged at the time of purchase and never expire.
Failed requests are not billed. If a request returns 5xx from us, the estimated credits are released. Stated prices exclude applicable taxes and VAT, which are calculated and added at checkout based on your billing location.
5. Your content
You retain all rights in your prompts and outputs. We claim no ownership and no license to use your content for model training. We process your content solely to deliver the service.
6. Third-party model providers
Bytespike routes to upstream model providers including OpenAI, Anthropic, Google, and others. We are not affiliated with, endorsed by, or sponsored by these providers. Their underlying models, availability, output quality, content policies, and rate limits are governed by their own terms — we surface their decisions and errors as-is. We disclaim any warranty as to the conduct, output, or availability of any upstream provider.
7. Warranty disclaimer
The service is provided on an 'as-is' and 'as-available' basis. Models are stochastic systems; we do not warrant that outputs will be accurate, safe for any particular purpose, or free from bias. Run your own evals before shipping.
8. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising from these Terms is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data.
9. Termination and notice
Either party may terminate at any time for any reason. Bytespike will give you 30 days' prior notice for any material change to these Terms or a planned discontinuation of a paid service. You may terminate by closing your account in the Console or by emailing legal@bytespike.ai. On termination we will refund your unused credit balance per the Refund Policy at /legal/refund. We may suspend accounts immediately for breach of Section 3 or the AUP.
10. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute arising from or relating to these Terms shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in New Castle County, Delaware. The arbitrator's award shall be final and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive relief in court for IP or confidentiality disputes.
